Sweepstakes Terms and Conditions

1. Sponsor Information
   ‍
   ‍These Terms and Conditions ("Terms") govern the Spotter Studio Sweepstakes Program ("Program"). By participating in the Program, both Spotter Memberships, LLC ("Spotter") and the participant ("Participant") agree to comply with and be bound by these Terms.‍
2. No Purchase Necessary
   ‍
   No purchase is necessary in order to participate in the Program. Free trialists can participate in the Program even if they cancel their Spotter Studio subscriptions prior to conversion to a paid subscription.  Existing, paying Spotter Studio subscribers can participate in the Program even if they cancel their Spotter Studio subscription subsequent to entry. 
3. Eligibility
   
   In order to be eligible for the Program, Participants must meet for the following criteria: 
   ‍
   
   • Must be 18 or older
   • Must be the official account administrator of the YouTube channel associated with the Spotter Studio account. 
   • Employees of Spotter, Inc., and/or its affiliates and their immediate family members, and currently contracted Spotter Partners, Affiliates, and Funded Creators are not eligible to participate in the Program.
   • Individuals who sign up for a free trial of Spotter Studio between 12:01am PST 11/25/24 to 12/31/2024 11:59pm PST and any then-current Spotter Studio members are eligible as long as they abide by the “How to Enter” instructions below.  
4. Sweepstakes Entry Period
   ‍
   12:01 am PST 11/25/24 to 12/31/2024 11:59pm PST‍
5. How to Enter
   ‍
   ‍Existing members who have completed at least one “Brainstorm” project are automatically eligible.
   
   New members must enroll in a free-trial for Spotter Studio and complete a new “Brainstorm” project.
   
   The more completed Brainstorm projects you create the more chances you have to win. For example if you have one completed project you will be entered once, if you have two you will be entered twice.‍
6. Prizes
   
   Spotter shall award one grand prize of $20,000 USD and a one-year Spotter Studio membership, and five other prizes of $1,000 USD and a Spotter Studio membership. These prizes are non-transferrable. ‍
7. Winner Selection, Notification and Payment of Prizes. 
   
   Winners shall be selected from eligible Participants via a random drawing conducted on or around 01/07/2025. 
   
   Winners will be notified via the email they used to sign up for Spotter Studio. 
   
   Only one winner per Spotter Studio account organization.
   
   If a Winner is from the US they shall be required to provide Spotter with a form of government identification, bank account details, and a W-9 in order to receive payment.  Spotter shall provide payment to winners via wire transfer on or around seven calendar days following receipt of the aforesaid information. 
   
   If a Winner is from a non-US country they shall be required to provide Spotter with a form of government identification (e.g. Passport of European ID), bank account details, and a W-8BEN in order to receive payment. Spotter shall provide payment to winners via wire transfer on or around seven calendar days following receipt of the aforesaid information. 
   
   If the Winner doesn’t respond to direct email within 7 days, an alternate winner may be chosen.‍
8. Odds of Winning
   
   The odds of winning depends on the total number of eligible entries received.‍
9. Publicity Release
   
   Participants agree to allow Spotter to use their name, likeness, or entry for promotional purposes without additional compensation, if applicable.‍
10. Liability Release
    
    Spotter and its affiliates are not responsible for lost, delayed, or misdirected sign-ups due to network, technical, or other issues.
    
    Spotter reserves the right to withhold or invalidate any prizes issued under the Program for any reason.‍

12. Disqualification
    
    Participants may not use SPAM or other unsolicited methods to distribute their referral link. This includes running paid advertisements.
    
    Entries made through fraudulent, illegal, or unethical practices will be disqualified.
    
    Participants may not create multiple accounts or use fake information to qualify for additional rewards.
    
    If a Spotter Studio member has requested a cancellation before 01/07/205 they are not eligible.‍
13. ‍Disputes
    
    These Terms are governed by the laws of California. ‍
14. ‍Program Changes
    
    Spotter reserves the right to modify, suspend, or terminate the Program at any time without prior notice.
    
    Changes to the Program will be effective immediately upon posting of the updated Terms.
